THESE LIMITATIONS APPLY WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF HANGRY JOE'S HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL HANGRY JOE'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICES EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO HANGRY JOE'S IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE CLAIM; OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).

Some jurisdictions do not allow the exclusion or limitation of certain warranties or consequential damages; therefore, some of the above limitations may not apply to you. In such jurisdictions, our liability shall be limited to the fullest extent permitted by applicable law.

9. Indemnification

You agree to defend, indemnify, and hold harmless Hangry Joe's and its officers, directors, employees, agents, contractors, licensors, service providers, subcontractors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

13. Dispute Resolution and Arbitration

13.1 Informal Resolution

In the event of any dispute, claim, or controversy arising out of or relating to these Terms, your use of the Services, or any products or services provided by Hangry Joe's ("Dispute"), both parties agree to first attempt to resolve the Dispute informally. 13.2 Binding Arbitration

If a Dispute cannot be resolved informally within thirty (30) days, and to the fullest extent permitted by applicable law, both parties agree that any unresolved Dispute shall be settled by binding arbitration administered in accordance with the rules of the American Arbitration Association (AAA) or another mutually agreed-upon arbitration service, rather than in court. The arbitration shall be conducted in English, and the arbitrator's decision shall be final and binding.

By agreeing to arbitration, you and Hangry Joe's are each waiving the right to a trial by jury or to participate in a class action. This arbitration agreement is governed by the Federal Arbitration Act (FAA), 9 U.S.C. § 1 et seq.

13.3 Class Action Waiver

YOU AND HANGRY JOE'S AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, REPRESENTATIVE, OR MULTI-PLAINTIFF ACTION. Unless both parties agree otherwise in writing, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a class or representative proceeding.

13.4 Exceptions

Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's intellectual property rights or to prevent immediate, irreparable harm.

14. Term and Termination

These Terms of Service shall remain in full force and effect for as long as you continue to access or use our Services. Hangry Joe's reserves the right, in its sole and absolute discretion, to:

In the event of such circumstances, our obligations will be suspended for the duration of the force majeure event.

19. No Waiver

No waiver by Hangry Joe's of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure by Hangry Joe's to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

20. Assignment

Any attempt to assign these Terms without such consent shall be null and void. Hangry Joe's may freely assign or transfer these Terms, in whole or in part, including in connection with a merger, acquisition, sale of assets, or operation of law, without restriction and without notice to you.
